SOCIAL CLUB TERMS OF SERVICE Social Club LLC · Effective October 22, 2026
1. AGREEMENT TO THESE TERMS
These Terms of Service govern every purchase from Social Club, operated by Social Club LLC ("Social Club," "we," "us"). They apply to you as the purchaser ("you," "Client," or "Member") and to anyone on your team who takes part in our services.
By paying an invoice, checking the agreement box at checkout, or using any Social Club service, you agree to these terms. If a signed proposal or service agreement exists between us, its specific terms control where they differ from these.
We may update these terms from time to time. The version posted at rsvpsocialclub.com on the date of your purchase applies to that purchase. For ongoing Membership, we will give at least 30 days' notice of any material change.
2. SERVICES COVERED
These terms apply to every Social Club offering, current and future, including: • Guest Pass and other one-time strategy sessions • Membership and any other recurring or subscription programs • Digital products, courses, community spaces and their content • Add-ons and custom work, such as Table Sessions, Team Summits, speaking, facilitation and builds quoted separately
The scope, deliverables and timeline for each purchase are what is described on its invoice, sales page or proposal. Anything outside that description is out of scope and may be quoted as an add-on.
3. PAYMENT AND BILLING
• Due date. Invoices are due on receipt unless the invoice says otherwise. Services are scheduled once payment clears. • Recurring charges. Recurring programs are billed automatically to your payment method on file each billing cycle. You authorize these charges until your program ends under Section 4. • Financing. If you pay through a third-party option such as Klarna or Affirm, your repayment agreement is with that provider. Social Club is paid in full at checkout, and your purchase is subject to these terms regardless of how you finance it. • Failed or late payments. If a payment fails, we will notify you and retry. If it is not resolved within 7 days, we may pause services until your account is current. Paused time does not extend your program or reduce what you owe. • Taxes and fees. Prices do not include applicable taxes, which are added where required. • Chargebacks. Please contact us before disputing a charge. Filing a chargeback for services delivered under these terms may result in suspension of your account.
4. MEMBERSHIP AND RECURRING PROGRAMS
• Minimum term. Membership requires a minimum commitment of 3 consecutive months. You are responsible for all 3 monthly payments, even if you stop attending or using the services early. • After the minimum. Membership continues month to month at the then-current rate until you cancel. • Cancelling. After the minimum term, you may cancel by giving 30 days' written notice to [email protected]. Your final charge is the one that falls within that 30-day window, and your benefits continue through the end of that paid month. • Other recurring programs. Programs with no stated minimum, such as community memberships, may be cancelled before the next billing date and remain active through the end of the paid period. • Price changes. We may change recurring prices with at least 30 days' notice. Founding or locked-in rates stay in place for as long as the stated terms of that rate say they do.
5. ALL SALES FINAL
All purchases are final and non-refundable, including sessions, Membership months, digital products, courses and add-ons. Because our services reserve limited time and deliver proprietary material immediately, we do not offer refunds, partial refunds or prorated credits for unused time.
• Rescheduling. You may reschedule a session once with at least 48 hours' notice. Sessions missed or cancelled with less notice are forfeited. • Expiration. Unused sessions must be scheduled within 90 days of purchase unless your invoice says otherwise. • Credits. Any credit we offer toward another program, such as a Guest Pass credit toward Membership, is non-cash, non-transferable, and expires on the date stated in the offer. • Our cancellation. If Social Club has to cancel a session, we will reschedule it at no cost to you.
6. IN-PERSON SESSIONS AND TRAVEL
Some programs include in-person work, such as the Vision Summit held in your home. When a program requires Social Club to travel to you: • You cover the travel and lodging costs listed on your invoice or proposal, in addition to the program fee. • Travel is booked once those costs are paid. Fares and rates are passed through at cost. • If you cancel or reschedule after travel is booked, you are responsible for any change fees or non-refundable bookings. • You agree to provide a safe, suitable space for the work. We may end an in-person session early if conditions are unsafe, without a refund.
Logistics budgets for events you host (venues, catering, materials) are separate from our facilitation fees and are handled as stated in your proposal.
7. YOUR PART, AND WHAT WE DON'T PROMISE
• Your participation. Results depend on your engagement. You agree to show up prepared, give us accurate information, and respond to requests within a reasonable time. Delays on your side may shift delivery dates. • No guaranteed results. We share strategy, frameworks and recommendations, but we do not guarantee any specific revenue, growth or business outcome. Any examples or client stories are not a promise of what you will achieve. • Your decisions. You remain responsible for every decision you make in your business and for how you use our recommendations. • Not professional advice. Social Club is a consulting and coaching company. We do not provide legal, tax, accounting, financial, medical or mental health advice. Consult a licensed professional for those needs. • Conduct. We may end services, without refund, for abusive, unlawful or unsafe behavior toward Social Club, our team, or other members.
8. INTELLECTUAL PROPERTY AND CONFIDENTIALITY
• Our methods stay ours. Social Club's frameworks, methodologies, processes, templates, recordings, courses and materials, including the Founder Summit and Vision Summit, remain our exclusive intellectual property. • Your license. You may use materials delivered to you for your own business. You may not copy, resell, teach, license, publish or adapt them into competing programs or products, or share them outside your business. • Your deliverables. Documents created specifically for your business (such as your plans, offers and strategy documents) are yours to use once paid in full. Our underlying frameworks inside them remain ours. • Your information. We keep your non-public business information confidential and use it only to serve you and as described in Case studies below. You agree to keep other members' information shared in group settings confidential. • Recordings and testimonials. We may record sessions for your use and ours. We will only share your name, likeness or identifying details publicly with your written permission. • Case studies. You grant Social Club the right to use your work with us, including your results, challenges, strategies and outcomes, as anonymized case studies in our marketing, sales, teaching and training materials. We will remove your name, your business name, and any personal or identifying information before use. This right continues after your program ends.
9. LIABILITY, TERMINATION AND DISPUTES
• Limit of liability. To the fullest extent allowed by law, Social Club's total liability for any claim is limited to the amount you paid us in the 3 months before the claim. We are not liable for indirect, incidental or consequential damages, including lost profits or revenue. • Termination by us. We may end services if you breach these terms, including non-payment. Amounts owed for services already provided, and any remaining minimum-term payments, stay due. • Resolving disputes. We'd rather talk it through. Before taking formal action, either party will first try to resolve a dispute in good faith by written notice and at least 30 days of discussion. • Governing law. These terms are governed by the laws of the State of Texas. Any legal action will be brought in the state or federal courts located in Harris County, Texas. • Entire agreement. These terms, together with your invoice and any signed proposal, are the full agreement between us. If any part is found unenforceable, the rest still applies.
